1. Introduction

PLESAE READ THESE TERMS OF USE (“TERMS”) CAREFULLY BEFORE USING HALOFORT

halofort is a Unified Endpoint Management Extended (UEMX) platform provided by Tectoro Consulting Private Limited ("Tectoro", "we", "us", or "our"), a company incorporated under the Indian Companies Act, 2013, having its office in Hyderabad, Telangana, India . These Terms govern your access to and use of halofort, including the halofort admin console, agent apps, and any other content, functionality and services offered on or through halofort ("Services"). Additional details about the Services are available at our website please visit www.halofort.com ("halofort")

No physical or digital signature is necessitated in order to validate this Agreement. Under the Information Technology Act, 2000, an electronic record accepted by clicking, ticking or confirming to use halofort is treated as a valid and binding agreement, in the same manner as a signed document.

2. Definitions

“Content” means any text, data, graphics, images, video, audio, software, trademarks, logos, documentation, or other material made available on or through halofort, but excludes Customer Data.

“Customer” means the organization that has subscribed to halofort.

“Customer Data” means information collected from, or entered in relation to, devices and accounts enrolled by a Customer, as further described in the halofort Privacy Policy.

“Order Form” means the order form, subscription agreement, or online checkout flow through which a Customer subscribes to a paid plan.

“You” / “Your” / “User” means the individual accessing or using halofort, and, where applicable, the organization on whose behalf halofort is accessed or used.

3. Acceptance of Terms:

BY USING halofort, YOU ("you", "your", "user", "yourself") acknowledge that you have read and AGREE TO BE BOUND BY THESE TERMS. If you do not want to agree to these Terms, you must not access or use halofort.

If you are using halofort on behalf of an organization (for example, as an IT administrator), you represent that you have the authority to accept these Terms on that organization's behalf, and "you" in these Terms refers to both you individually and that organization.

4. Eligibility

halofort is intended for use by organizations and their employees or authorized personnel in a workplace context. By using halofort, you represent that you meet these requirements.

5. Application

These Terms apply to every user who accesses or uses halofort, whether as an IT administrator managing the platform or as an end user of an enrolled device or account.

6. Subscription and Access

halofort is made available to organizations on a subscription basis. The features, device or user limits, and support levels available to your organization depend on the pricing plan your organization has subscribed to. Tectoro may add, change, or retire features within a plan from time to time, and will make reasonable efforts to communicate material changes to your organization's administrator.

Your organization's IT administrator is responsible for enrolling devices and users into halofort and for configuring the policies that apply to them. Tectoro is not responsible for how your organization configures halofort, including any policy an administrator applies to your device or account.

7. Changes to These Terms

Tectoro may revise these Terms from time to time. The most current version of the Terms will supersede all previous versions and will be posted on halofort or our website, together with an updated “Last updated” date. You are expected to check

halofort or our website periodically for the same. Your continued access to or use of halofort after any changes to these Terms takes effect constitutes your acceptance of the revised Terms. For material changes, Tectoro will make reasonable efforts to provide additional notice, such as through the admin console or by email to your organization's administrator.

8. License and Access restrictions

Subject to your compliance with these Terms and your organisation’s subscription plan, Tectoro grants you a non-exclusive, non-transferable, limited license to access and use halofort for your organization's internal business purposes. The license does not include any right to sublicense, resell, or make halofort available to any third party. You further agree to not use halofort for any illegal or unlawful purposes or interfere with any other party's use and enjoyment of any Services associated with halofort.

You agree that you shall not:

1. Copy, modify, reverse-engineer, distribute, prepare derivative works, download, display, transfer, post or transmit halofort or its Contents (defined under) in any way for any public or commercial purpose, except as expressly permitted by your subscription plan.

2. Use halofort to engage in any action that could disable, overburden, damage, impair or interfere with the functioning of halofort or any other party's use of it.

3. Use any robot, spider, automatic device, manual or automated process or other means to access halofort, the server or servers on which it is stored, or any server, computer or database connected to it for any unauthorized purpose, such as the monitoring, collection or copying of material on halofort, including but not limited to prices, product listings and descriptions.

4. Use halofort to post or transmit any information that infringes intellectual property rights, or any unlawful, illegal, obscene or pornographic information of any kind, including, without limitation, any transmissions constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any local, state, national or international law, including, without limitation, all Indian laws and regulations.

5. Attempt to circumvent, disable, or otherwise interfere with security-related features of halofort, or use halofort to gain unauthorized access to any device, account, or network.

6. Use halofort to enroll or manage a device without appropriate authorization from the device's owner or your organization's policies.

Tectoro reserves the right to terminate or suspend your access to all or part of halofort immediately and at any time for any or no reason, including any violation of these Terms, in accordance with section 19 (Term and Termination)

9. Contents and Accuracy of Information

Any content on halofort regarding the Services or otherwise is general in nature, and shall not operate nor be construed to be, and is no substitute for the advice provided by a qualified and expert / professional. The content may contain typographical errors or other errors or inaccuracies and Tectoro, therefore, reserves the right to correct any such errors, inaccuracies or omissions and to change or update the content at any time without prior notice. Tectoro does not guarantee of completeness, accuracy, timeliness of such Content.
You hereby acknowledge that any reliance upon any Content shall be at your sole risk.

10. Customer Data

As part of using halofort, your organization's administrator may enroll devices, configure policies, and view information collected from managed devices and accounts, as described in the halofort Privacy Policy. This information belongs to your organization, and Tectoro accesses it only to provide, support, and improve the Services.

You are responsible for ensuring your organization has the right to enroll a given device or user into halofort, and for complying with any notice or consent requirements that apply to your employees or device users under applicable law.

11. Intellectual property rights

The Contents of halofort are protected by copyright, trademark, and other intellectual property laws., Any unauthorized use of any of these materials may violate copyright, trademark and other laws. Except for the limited license granted in Section 7, no right, title or interest in or to halofort, any Content on it, or any Services, processes or technology described within it is transferred to you, and all rights not expressly granted are reserved by Tectoro or their respective owners.

12. Links to third-party sites

halofort may contain links to third-party sites, which are provided for your convenience only. We have no control over the contents of those sites or resources, and therefore we devolve ourselves of all responsibility for the text, software, scripts, graphics, photos, sounds, music, videos, audiovisual combinations, interactive features and miscellaneous materials you may come across, access through, or contribute to the service, and the privacy policies, terms of service or practices of any third-party websites. You acknowledge that we accept no responsibility for them or for any loss or damage that may arise from your use of such third-party websites. Access to any third-party websites linked to halofort is at your sole risk and subject to the terms and conditions of use for such websites.

13. User postings and communications

Tectoro reserves the right, but is not obligated, to monitor or review the content and postings of user messages or other user contributions or communications submitted, displayed or transmitted on or through halofort in its sole discretion. You represent that you shall not post any content which are fraudulent, indecent, defamatory, racist, libelous, obscene, illegal, abusive, threatening or harassing or infringes any third-party rights, including intellectual property rights or which affects the goodwill of Tectoro. You shall be solely responsible for content you submit, including its legality, reliability, accuracy and appropriateness. Tectoro bears no liability related to the content or accuracy of any such messages and retains the right to remove messages that include any material deemed abusive, defamatory, obscene or otherwise unacceptable and take any action deemed necessary or appropriate if Tectoro believes such communications violate these Terms or could create liability for Tectoro. Without limiting the foregoing, Tectoro has the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through halofort. YOU WAIVE AND HOLD HARMLESS Tectoro FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY Tectoro DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER Tectoro OR LAW ENFORCEMENT AUTHORITIES.

POSTING CONTENT ON halofort: Once you have posted any content through halofort's messaging or chat features, you understand that it becomes accessible to the other users your organization has authorized to view it and Tectoro cannot be held liable for ensuring the confidentiality of the same beyond the security measures described in the halofort Privacy Policy. You are responsible for your postings, hence

you affirm, represent, and warrant that you own or you possess the required licenses, rights, consents, and permissions to publish such content. You further agree to grant Tectoro a limited, non-exclusive license to use, reproduce, and transmit your content solely to operate and provide the Services to your organization.

14. Disclaimer of Waranties

Tectoro makes reasonable effort to present content on halofort accurately, but does not guarantee the accuracy or completeness of all posted information. Tectoro cannot and does not guarantee or warrant that files available for downloading from the Internet or halofort will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to halofort for any reconstruction of any lost data. Content on halofort is provided "AS IS" and "AS AVAILABLE" basis, without warranty of any kind, express or implied, including but not limited to any warranties of merchantability, fitness for a particular purpose, title or non-infringement. Tectoro does not warrant or make any representations that use of halofort, or any site linked to it, will be uninterrupted, reliable, secure or error-free.

15. Service availability

Tectoro will make reasonable efforts to keep halofort available and operating normally, but does not guarantee uninterrupted access. halofort may be temporarily unavailable for maintenance, updates, or reasons outside our control. Where a specific service level commitment has been agreed with your organization separately, that commitment will govern over this section.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECTORO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, USE, DATA, BUSINESS, OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, HALOFORT, EVEN IF TECTORO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Subject to the foregoing, Tectoro's aggregate liability arising out of or relating to these Terms or halofort, whether in contract, tort, or otherwise, shall not exceed the total fees actually paid by your organization to Tectoro for the Services in the six (6) months immediately preceding the event giving rise to the claim. This limitation does not affect any liability that cannot be excluded or limited under applicable law, including liability arising from Tectoro's gross negligence, willful misconduct, or fraud.

17. Indemnity

You, hereby, agree to indemnify and hold harmless Tectoro from and against any and all claims, charges, demands, damages, liabilities, losses, expenses, and liabilities of whatever nature and howsoever arising (including but not limited to any legal or other professional fees and the costs of defending or prosecuting any claim and any loss of profit, goodwill, and any other direct or consequential loss) incurred or suffered by Tectoro directly or indirectly by reason including but not limited to (i) your misuse of halofort, (ii) your violation of these Terms, (iii) from your contents posted on or through halofort and (iv) from your infringement of any intellectual property rights in any posting to or transmission via halofort.

18. Force Majeure

Tectoro shall not be liable for any failure to perform any obligations under these Terms or that are displayed within halofort, if the performance is barred or deferred by any event arising due to any cause beyond the reasonable control of Tectoro and in such case our Services under these Terms shall be suspended for so long as such event continues.

19. Fees and payment

Access to halofort's paid plans is subject to the fees agreed with your organization at the time of subscription. Fees are payable as set out in your organization's order form or subscription agreement. Tectoro may suspend access to paid features if fees are not paid as agreed, after reasonable notice to your organization's administrator.

20. Term and termination

These Terms remain in effect for as long as your organization's halofort subscription is active, or for as long as you access or use halofort. Either party may terminate access as set out in the applicable subscription agreement. Tectoro may also suspend or terminate access as described under "Access and use restrictions" above. Sections of these Terms that by their nature should survive termination (including Intellectual property rights, Disclaimer, Limitation of liability, and Indemnity) will continue to apply after termination.

21. Compliance with law

If you access halofort from outside India, you are responsible for compliance with local laws. You may not use halofort or export or re-export the materials, software or services contained on or made available through it in violation of Indian export laws and regulations.

22. Assignment

You may not assign or transfer these Terms, or any right or obligation under them, without Tectoro's prior written consent. Tectoro may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

23. Notices

Notices to Tectoro must be sent in writing to the Grievance Officer at the contact details in Section 27. Notices to you or your organization may be sent to the email address or contact details associated with your organization's administrator account, and will be deemed received when sent.

24. Severability

In the event that any provision of this Terms is held to be invalid or unenforceable by a court or regulator of competent jurisdiction, the valid or enforceable portion thereof and the remaining provisions of this Terms will remain in full force and effect. You acknowledge that Tectoro's failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver or failure to enforce any provision of this Terms on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion. All waivers must be in writing.

25. Governing law and jurisdiction

All matters relating to halofort and these Terms and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of India, court of Hyderabad shall have the exclusive Jurisdiction.. However, Tectoro retains the right to bring any suit, action or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

26. Entire Agreement

These Terms, together with the halofort Privacy Policy and any applicable Order Form, constitute the entire agreement between you and Tectoro regarding your use of halofort, and supersede any prior or contemporaneous agreements, communications, or proposals, whether oral or written, relating to that subject matter. In the event of a conflict between these Terms and an Order Form, the Order Form will govern solely with respect to the subject matter it expressly addresses.

27. Privacy

Your use of halofort is governed by our Privacy Policy found at https://halofort.com/legal-page/privacy-policy and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

28. Grievance Officer

In accordance with the Information Technology Act 2000 and Information Technology (Intermediaries Guidelines and Digital Media Ethic Code) Rules, 2021 made thereunder, the contact details of the Grievance Officer are provided below in order to contact him when you have some problem or grievance with respect to the Services of halofort:
